Description

We are currently seeking Capital Markets Lawyers to work with Axiom clients across financial institutions, investment banks and other organisations.

Responsibilities:

Provide practical, commercially focused legal advice on a range of capital markets matters, including debt, equity and equity-linked transactions, securities offerings, financings and listed-company matters.
Draft, review and negotiate capital-markets documentation, including offering documents, prospectuses, underwriting agreements, purchase agreements, engagement letters, disclosure materials and related transaction documents.
Support transactions throughout their lifecycle, including structuring, due diligence, disclosure, documentation, execution, closing and post-transaction requirements.
Work closely with legal teams, bankers, issuers, finance, compliance, business stakeholders and external counsel to manage risk and deliver transactions efficiently.

Minimum Qualifications:

Qualified lawyer eligible to practise in the UK, or an equivalent overseas qualification with relevant UK capital-markets experience, and right to work in the UK.
Experience advising on one or more capital markets areas, including debt capital markets, equity capital markets, equity-linked products, securities offerings, listed-company matters or corporate finance.
Experience gained in private practice, in-house, on secondment or within an investment bank, financial institution, broker-dealer, issuer or other relevant financial-services environment.
Strong commercial awareness, drafting, negotiation, stakeholder-management and communication skills, with the ability to provide clear, pragmatic and business-focused advice in a fast-paced transactional environment.
